Abstract: Abstract Mergers and Acquisitions require an extensive paperwork and various legal considerations. Lawyers must pay close attention to all the pre-contracts and contract aspects of the deal, such as letter of engagement, letter of intent, term sheet and the final merger agreement. State statutory laws set up the requirements that must be satisfied for target corporations to validly enter into and consummate mergers and acquisitions.
