Abstract: Abstract Language being central in governance, this chapter begins with a definition of control. Owners, directors, and executives must align on control, in understanding the what, the why, and the how. In this chapter we will illustrate how control is typically achieved through a variety of structural mechanisms. This is our entry point for distinguishing the responsibilities at the corporate level (board of directors) from those at the business level (CEO and top management). This leads to a clear and complementary differentiation of the role and function of the corporate board from that of the business (unit) board.
