Abstract: Zusammenfassung In Deutschland gibt es das Konzept der zweistufigen Governancestruktur aus Vorstand und getrenntem Aufsichtsgremium. Immer dann, wenn man in Deutschland mit der Leistung eines Aufsichtsgremiums im Allgemeinen nicht zufrieden ist, stellt sich die Frage, ob das einstufige Konzept vorzuziehen ist.
