Abstract:
Abstract This chapter explores the fundamental role of corporate governance as the system by which companies are directed and controlled. It traces the historical evolution of governance through four centuries, from the birth of joint-stock companies to modern global ESG-driven standards. The text discusses key theoretical frameworks, including agency theory, stewardship theory, and stakeholder theory, while examining the shift from shareholder primacy toward purpose-driven governance. It also addresses the institutionalization of governance through soft law principles (like the OECD Principles) and binding hard law regulations.
