Abstract: Abstract This chapter provides a detailed overview of the Luxembourg’s corporate governance framework, which is fundamentally rooted in the 1915 Company Act. It examines the diverse corporate structures available in Luxembourg, such as the société anonyme (SA), société à responsabilité limitée (SARL), and société par actions simplifiée (SAS). The chapter explores one-tier and two-tier governance models, the tasks and composition of governing bodies, and the legal relationships between directors and shareholders. Additionally, it delas with the specialized “X Principles” applicable to listed companies on the Luxembourg Stock Exchange.
