Chapter 5 in The Governance of Luxembourg Investment Vehicles, Asset Managers, and Asset Owners, 2026, pp 165-217 from Springer

Abstract: Abstract This chapter examines the governance of Luxembourg undertakings for collective investment (UCIs), specifically focusing on UCITS and alternative investment funds (AIFs). It details the various legal forms available—including contractual (FCP) and corporate structures (SICAV/SICAF)—and explores the pivotal role of management companies (ManCos), including third-party ManCos. The chapter provides an in-depth analysis of the tasks and composition of governing bodies, the role of the board secretary and chairman, and the critical responsibilities of designated officers for anti-money laundering (AML) and counter-terrorism financing (CTF).
