Abstract: Abstract This chapter focuses on the economic and regulatory landscape of private equity (PE) and venture capital (VC) in Luxembourg. It describes the life cycle of PE funds and distinguishes between various regulated (SICAR, SIF, RAIF) and unregulated (SCS, SCSp) vehicles often used for PE and VC investments. The text analyzes the impact of the AIFMD on private equity governance, including rules on leverage, delegation, and asset-stripping. Additionally, it explores the specialized governance of venture-backed start-ups and the emergence of European labels like EuVECA and ELTIF.
