Chapter 4 in Managing Innovation from the Land of Ideas and Talent, 2009, pp 73-118 from Springer

Abstract: Abstract Transparency, integrity, trustworthiness, and a sense of responsibility are basic values on which SAP’s solid global reputation is built. These principles of corporate governance, transparent for all stakeholders, set the standard for the work of SAP’s executive and supervisory board. These values are reflected and substantiated by SAP’s products and services; solutions that help both its public sector and its private sector clients improve the transparency and accountability of their operations. SAP’s corporate governance structure follows Germany’s legal framework of corporate governance, which separates management and supervisory functions into two distinct bodies: the executive board and the supervisory board. Due to the German Co-determination Act, half of the SAP supervisory board members are employee representatives. Additionally, the German Stock Corporation Act provides for a third body – a shareholders’ organization known as the General Shareholders’ Meeting.
