Abstract:
Abstract In the chapter on the Netherlands, the authors John F. Langelaar and Pietia C. Laarhoven van der Mark start with a short introduction into the general laws and regulations with regard to setting up and running a business. They use the general analysis framework for the handbook on legal forms in Europe to analyse six legal forms: the joint stock company/corporation (Naamloze Vennootschap – N.V.), the limited Liability Company (Besloten Vennootschap – B.V.), the limited commercial partnership (Commanditaire Vennootschap – C.V.), the partnership (Vennootschap onder Firma – V.O.F.), the civil partnership (Maatschap – Mts.) and the individual enterprise/sole proprietorship (Eenmanszaak). The authors conclude their discussions with an evaluation of the advantages and disadvantages of the different legal forms and provide exemplary recommendations depending on the individual case of the founders.
