Chapter Chapter 9 in Founding a Company, 2010, pp 161-188 from Springer
Abstract:
Abstract In the chapter on Romania, the authors Roxana Smeu and Adriana Turta start with a short introduction into the general laws and regulations with regard to setting up and running a business and provide an overview of possible legal forms in Romania. They use the general analysis framework for the handbook on legal forms in Europe to analyse five relevant legal forms: the limited liability company (Societate cu raspundere limitata – SRL), the joint stock company (Societate pe actiuni – SA), the general partnership (Societate in nume colectiv – SNC), the limited partnership (Societate in comandita simpla – SCS) and the limited partnership on shares (Societate in comandita pe actiuni – SCA). The authors conclude their discussions with an evaluation of the advantages and disadvantages of the different legal forms and provide exemplary recommendations depending on the individual case of the founders.
