Abstract: Abstract Our next chapter will focus on the topic of business regulations for management. Normally, the articles of association contain a clause that empowers the shareholders’ meeting to issue business regulations and, if necessary, to amend them with the required majority. The business regulations serve as a link between the articles of association—which can only be adjusted by notarial act—and the managing director’s service contract, which usually also refers to the business regulations.
