Abstract:
Abstract Chapter 8 demonstrates that in Finland a board chair is an important component of the governance ecosystem—not merely the most senior director with responsibility for the board’s effectiveness. Chairs see themselves as facilitators of collective discussions in the boardroom, which in turn lead to effective consensus-based decision-making. Chairs bring directors into the game by reaching out before the meeting and focusing their attention at the opening. They ensure an adequate level of understanding in the boardroom by providing adequate materials and learning about the business on behalf of the board. They also provide time and create a safe space for collective discussions, as well as engaging the management and actively using technology.
