Abstract: Abstract This chapter is a literature review of corporate governance. It starts with the history of corporations, the emergence and development of corporate governance, the main areas of interest and major models. This is relevant for the study of the context of corporate governance in Vietnam, the context that determines the conduct of board directors in that country. To establish a full framework for further study of director behaviour, six corporate governance theories are reviewed; they explain and give guidance on relationships among the principal parties in corporate governance, of which the board of directors is a crucial component.
