Abstract: Abstract What is the legal framework governing contract agreements in India, focusing on the persistent challenges faced in public sector and government contracts. What are the salient features of the Indian Contract Act, 1872? The essential elements of a valid contract are offer, its acceptance, consideration, and reciprocal promises—and underscores the importance of fairness, equity, and enforceability. The onerous and one-sided tender conditions, often imposed by clients without reciprocal clauses hinder timely project completion and create win-lose scenarios. Are there any safeguards, which empower contractors to challenge or resolve arbitrary or unlawful contract clauses? What is the way out? There needs to be a shift from rigid, outdated practices to a more balanced and legally sound approach to contract management.
