Chapter Chapter 4 in An Empirical Study of SOE Corporate Governance Attributes for Emerging Markets, 2023, pp 77-91 from Springer

Abstract: Abstract This chapter provides an overview of the Vietnamese corporate governance framework. Section 4.2 will begin with a short description of the concept of corporate governance and its key features in Vietnam. Section 4.3 discusses the legal and regulatory framework and corporate governance best practices. Section 4.4 demonstrates the general governance of the structure of a shareholding company with insights into the Board of Directors, Board of Supervisors, and committees. Section 4.5 includes a preliminary evaluation of the corporate governance system in Vietnam in terms of the internal governance attributes. Details on ownership attributes of the Vietnamese corporations are presented in Sect. 4.6. Lastly, Sect. 4.7 summarises the key points of this Chapter.
