Abstract:
The corporate governance of Japanese companies is often described as “Contingent Governance” or “Emergency Governance”. This implies that the management are quite free in their day-to-day operations, but in a crisis situation, the main banks take over the management. This structure is supported by three major features (Yasui, 1999). These are as follows:homogeneous and hierarchical Board of Directors;silent shareholders;monitoring by banks.
