Abstract: Impact investing and regenerative finance seek to align capital with long-term social and environmental goals, yet routinely rely on container-centric mechanisms — fund structures, contracts and disclosure regimes — that fragment mission and require costly ex post verification. This paper argues that the persistent "black box" of impact is not a measurement problem but a semantic one: purpose is embedded inside transactional containers rather than governed as a first-class object. Building on idea-native architecture, the paper introduces idea-native finance: a semantic governance framework in which mission intent is explicitly represented, typed and provenance-linked, while capital storage and transfer remain separate concerns. In this model capital acquires semantic agency — it can traverse institutions while remaining governed by its originating purpose. Semantic finance is best understood as an enabling governance layer for purpose-governed capital systems, supplying the representational and provenance infrastructure required for multi-cycle, non-extractive capital architectures. The paper reframes impact investing from a defensive posture — focused on restriction, compliance and audit — toward an offensive, meaning-driven architecture that enables multi-cycle, non-extractive capital formation. It shows how idea-native finance renders mission drift and greenwashing structurally detectable rather than procedurally discouraged, and outlines implications for investment design, fiduciary duty and systemic regeneration.
