Abstract: One of the ways to eliminate corporate conflicts is the liability institution of officials of the corporate management body of a legal entity. The author points out that since fiducia in the field of corporate management creates increased risks of abuse of law, there are good reasons to establish legal factors not only for compensation but also for prevention from possible abuses of officials by excluding guilt as a condition of their liability. The reason for releasing an official from responsibility is only a case (causa) – a circumstance that the person cannot predict by taking appropriate measures of professional care that are required under specific conditions.
