Abstract:
By adopting a theoretical framework in the field of business transfer-takeovers, our article seeks to identify the characteristics of the Owner Buy Out (OBO) and the specific factors that contribute to the success of the transition phase during which the potential seller and the potential buyer cohabit and interact under the guidance of a private equity investor. Our research, consisting of a theoretical reflection supplemented by an exploratory and original qualitative study conducted with 13 investors specializing in buyout operations, highlights, through a series of proposals, the conditions for success inherent in an OBO that encourage the seller to withdraw and the buyer to socialise, in line with the most recent academic recommendations (Deschamps, 2018).
