Abstract: Being French, "société à mission" introduces a new governance mechanism, the mission committee, independent of the board of directors. This article aims to characterize better the practical and distinctive features of such a body. It is based on a study of its members. On the one hand, this research highlights original compositions that depart from the professional governance of boards, in this case, constructed in close connection with the objectives set out in the mission statement. Secondly, the analysis highlights forms of relationship between boards of directors and mission committees through cross-shareholdings. Finally, it outlines an original role for its independent members, combining representation and expertise. Finally, the article discusses the potential of deliberative and reflective governance of this kind for responsible innovation.
