Abstract:
This article examines the functioning of the Boards of Directors of Tunisian companies. While many studies have looked at the functioning and performance of the Boards of big American or European companies, few are interested in companies from emerging countries. The purpose of this article is to fill this gap by focusing on the case of Tunisian companies by providing insight into the structure, functioning and role of Boards of Directors through an in-depth descriptive study. From a sample of 40 Tunisian companies, an in-depth study was carried out to discover the specificities of boards of directors while taking into account the ownership structure. From this study it emerges that the structure, the functioning and the role of the Tunisian Boards of Directors do not seem to be intentionally chosen according to criteria belonging to the financial or strategic approaches of governance, nor to the rules of good conduct. It is the ownership structure that imposes all the choices regarding the structure of the Boards of Directors, even if these choices are not optimal for a better functioning of companies.
