Abstract:
The participation of employees in corporate governance is the subject of a recurring debate. On the one hand, some stress the potential weakening of the board's supervisory function while others indicate that the presence of employees reduces the level of information asymmetry. Beyond this academic and managerial debate, this paper focuses on the function and the potential contributions of employees to corporate governance. We develop an analysis of the function and role of board employee representation. We suggest that the effectiveness of their mandates is determined by three sets of factors: individual factors, endogenous corporate governance factors, institutional factors related to the national governance system. We then put forward a series of theoretical and operational proposals to make the board employee representation more effective.
