Abstract: The decline of "organized" firms in the USA ruins the hope of balancing intra-company powers through the collective negotiation between employers and trade unions, this hope the Wagner Act opened and which was in the core of the Industrial Pluralism. At this time when corporate agreements are developing in France, it is important to review the reasons for this disappointed hope in order to draw lessons from them. We show that the shifting of the negotiation towards a purely contractual scope bound its performances to a battle of wills progressively unfavorable to trade unionism. The next finding from our analysis is the fact that the preservation of the exclusive power of the management over the business strategy could just lead to the failure of this way of operating.
