Dealing with Contractual Incompleteness and Poor Contractual Enforceability

Abstract: The abrupt changes in the economic climate makes it difficult for firms in emerging economies to enforce current contracts and acquire new suppliers. The concept of a 'perfect contract' does not exist as there are many unknowns. Because of the differences in legal systems, contract monitoring and enforcement is challenging. This study draws upon relationship theory, power and dependence theory and proposes how contract type might influence contract incompleteness and enforceability.
