Abstract: In the field of corporate governance, the organizational capability is seen as authoritybased and resource-based capability. The composition of board and its responsibilities, balanced relations with the top management, defined policies and procedures of information access and adopted stakeholder approach in corporate governance are the relevant characteristics for organizational learning. The aim of the article is to examine the role of the corporate governance in the process of organizational learning in order to achieve the competitive advantage. The article will explore the practice of Serbian companies with regards to the nature and the character of corporate governance and its role in creation and dispersion of knowledge. The received results show disadvantages of the development in corporate governance, which is the key to forming an optimal organizational system of learning. The final results may prove extremely useful for the improvement of the governance and the process of organizational learning.
