Abstract:
The main objective of this study is to develop effective, but not too costly and overly burdensome corporate procedures that protect the corporation from abuses of controlling participants and management, to show reasonable limits to protecting the interests of minority participants, when these mechanisms conflict with the main objectives of a commercial corporation, to develop methods for determining ordinary business activities, in the framework of which the rules on large transactions are not applied. In addition, the tasks to be solved include: developing rules for compiling a list of persons whose transactions are recognized as related-party transactions, delimiting the direct and indirect interest of persons in transactions with the corporation, identifying specific signs of the controlling person and the rules for determining it, as well as developing criteria for determining ordinary business activities, allowing to isolate extraordinary transactions.
