RSUH/RGGU BULLETIN. Series Economics. Management. Law, 2018, issue 1

Abstract: In the article the author considers the regulatory framework governing the status of joint-stock companies, the joint-stock company is considered as a subject of civil law. Attention is drawn to the instability of the legislation on joint-stock companies. The author notes the presence of management functions similar to jointstock companies with other economic entities. The issue of exclusion from the Civil Code of the Russian Federation of the concepts of "closed joint-stock company" and "open joint-stock company" is raised, while in business practice these organizational and legal forms continue to be present. So there is a confusion in corporate law. In this regard, the author considers it necessary to resolve the issue with the names of joint-stock companies created, as before entering into force of changes in the legislation on the division of societies into public and non-public, and after that, in strict accordance with the current legislation of the Russian Federation, bringing the names to uniformity.
