Abstract: Small cooperatives suffer disproportionately high from some characteristics of their legal form, especially the mandatory audit. The referee’s draft from March 2013 introduces a new legal form for small cooperatives in which they were exempted from the mandatory audit. In return, other measures for creditor protection are suggested.
