Abstract:
Since 2002, Say-on-Pay (SoP) has emerged in the world as a tool of governance in response to controversies over executive pay. It allows a vote to shareholders on CEO compensation. This article argues that SoP control paradoxically leads to a reinforcement of compensation systems, while it is assumed to challenge them.
