Les incitations à la coopération entre homo economicus: l’attractivité des procédures préventives en droit des entreprises en difficulté

Abstract: Directive (EU) 2019/1023 of June 20, 2019 ?restructuring and insolvency?, transposed by the French Ordonnance No. 2021-1193 of September 15, 2021 amending Book VI of the Commercial Code, has provided the impetus for a standardization of the use of insolvency prevention procedures within the Member States, bringing together sometimes culturally very opposed legislations around this preponderance given to the cooperation of market participants. The economic and financial consequences of Covid-19, through which perfectly viable companies are on the verge of inexorably finding themselves in a state of economic failure, reinforce, beyond ad hoc legislative measures to overcome cyclical difficulties, the importance of the law?s incentives towards these preventive procedures.
