Chapter 14 in Outsourcing Agreements, 2025, pp 429-466 from Edward Elgar Publishing

Abstract: Chapter 14 examines differences among outsourcing contracts, based upon the underlying business functions entrusted to suppliers, such as information technology operations (ITO), applications development and management (ADM), finance and accounting (F&A), human resources administration (HR) and procurement. Contracts often follow patterns established for ITO, but with significant differences concerning pricing metrics, service levels, transitional arrangements, intellectual property rights, and compliance obligations, among others. Outsourcing increasingly involves fundamental business transformations to wholly new methods and processes, often with novel technologies, as well as migrations from conventional to cloud-based solutions, often hosted by market leaders on terms they prescribe. The chapter concludes with discussions of standard, cloud-based offerings, such as software as a service (SaaS) and managed services that add consulting and service management functions.
