Abstract:
The emergence of DAOs disrupts traditional corporate structures. This chapter analyzes the key differences between DAOs and traditional companies, focusing on governance, membership, and accountability. We explore the challenges of regulating DAOs and propose a contractual framework by recognizing the validity of the DAO as an organizational contract. We also examine DAOs in light of established principles for commons governance to determine whether DAOs themselves can be considered commons or if they are simply vehicles for establishing rules for commons. Finally, we move beyond the ‘code is law’ approach to propose potential solutions tailored to the unique characteristics of DAOs, while also considering their potential impact on the corporate world.
