Abstract: Relying on a database of 297 agreements collected from the Licensing Executives Society International members, I show that defensive strategies are implemented mainly by small firms that do not have enough resources in order to cope with potential piracy. Moreover I highlight the paradoxal nature of these strategies as defensive clauses usually increase the contractual risks for the licensor.
