Theoretical Foundations and Strategic Motives of Mergers and Acquisitions: A Literature Review

Abstract: This paper examines the theoretical foundations and strategic motives of mergers and acquisitions (M&A), focusing on their role as strategic mechanisms for corporate restructuring and competitive advantage in the U.S. capital market. Although extensive literature exists on M&A, prior studies often examine individual theories or motives in isolation, resulting in a fragmented understanding of the strategic drivers of M&A activity. This study addresses this gap through an integrated narrative review that synthesises major theoretical perspectives and practical motivations underlying M&A transactions within the U.S. capital market context. The objectives are to examine key theories, including the Synergy Hypothesis, Agency Theory, Hubris Hypothesis, Portfolio Theory, Q Theory and Misvaluation Hypothesis, while analysing strategic motives such as value creation, market expansion, operational efficiency, innovation and access to critical resources. A narrative literature review methodology was employed, drawing on academic studies, industry reports and empirical evidence to develop a comprehensive understanding of M&A dynamics. The findings indicate that M&A transactions are primarily driven by the pursuit of operational and financial synergies, market expansion, technological acquisition and resource optimisation, while their success depends substantially on effective cultural integration, strategic alignment and post-merger management. The review further demonstrates that no single theoretical framework sufficiently explains the complexity of M&A activity, thereby highlighting the need for an integrated conceptual perspective. The study contributes to the literature by consolidating fragmented theoretical explanations into a unified discussion that offers scholars and practitioners a broader understanding of M&A as a corporate restructuring strategy in the U.S. capital market. Future research should incorporate digital transformation, environmental, social and governance considerations and global market dynamics into integrated M&A frameworks.
