Patentbewertung bei Spin-offs im Rahmen einer Ausgründung aus Wissenschaftseinrichtungen

Abstract: A transfer of assets or in particular patents from scientific institutions to spin-offs proves itself to be difficult: a market based value which is at the same time as founder-friendly as possible should be determined. However in jurisdiction and literature, there are few suggested methods for determining such a value, which leads to an overstrain of many scientific institutions when it comes to the valuation of patents and therefore transfer process of patents takes a long time. Often in this context, unreasonable prices are demanded from spin-offs as the characteristics of such are not taken into account in the patent assessment. This endangers the liquidity and existence of spin-offs. In this article a typical procedure is developed to determine a market based value for patents that is as founder-friendly as possible. In doing so, the idea of the relief from royalty method is used as the basis, whereby the characteristics of spin-offs are taken into account in the evaluation.
