Abstract: Abstract The impact of the Asian Financial Crisis (AFC) has made corporate governance an important policy issue for many countries in the Asian region and Taiwan is no exception. The government and business communities in Taiwan have been alerted by several corporate failures resulting from inadequate governance structures in the domestic financial market. Similar cases have also occurred in other markets and made it even more urgent for the government in Taiwan to do something about corporate governance (Backman, 2001; Ko et al., 2001; Wu, 2003a).
