Abstract: The author examines some basic corporate governance models and outlines the processes of formation of a Russian model. The author views the corporate governance model as a coordinated combination of restrictions on the activity of corporate stakeholders. In the Russian Federation we find elements both of a Market-based model and of a Bank-based model. Special attention is given to the contradictory tendencies in formation of the Russian corporate governance model.
