Abstract: Появление и развитие института «независимых директоров» в российском законодательстве началось в середине 1990-х годов. В российских условиях, когда нередко имеет место конфликт между различными группами акционеров, независимый директор, выдвинутый миноритарными акционерами, не обязательно действует в интересах всего акционерного общества, а может быть зависимым от узкой группы «своих» акционеров.Occurrence and institute development «independent directors» in the Russian legislation has begun in the mid-nineties. In the Russian conditions when the conflict between various groups of the shareholders quite often takes place, the independent director who has been put forward by shareholders, not necessarily operates in interests of all joint-stock company, and can be dependent on narrow group of the shareholders.
