A chapter in Sustainable Finance and Insurance in Africa, 2025, pp 63-85 from Springer

Abstract: Abstract This chapter explores the critical integration of Environmental, Social, and Governance (ESG) considerations into the underwriting of Directors and Officers (D&O) liability insurance within an evolving corporate landscape. As regulatory scrutiny and stakeholder expectations intensify, the insurance industry must incorporate ESG factors into risk assessment frameworks, moving beyond traditional underwriting practices. The chapter presents a robust rationale for this shift, supported by academic research demonstrating the positive relationship between ESG management and financial performance. It details the methodologies employed in assessing ESG risks and underscores the implications for insurers and corporate leaders, highlighting how tailored D&O insurance can enhance organisational resilience and reduce legal liabilities. The authors advocate for a paradigm shift in the understanding and importance of D&O insurance, emphasising its role not only as a protective measure but also as a catalyst for promoting sustainable corporate governance practices.
