Chapter Chapter 9 in Corporate Collapse and Corporate Governance, 2025, pp 209-220 from Springer

Abstract: Abstract This chapter concludes the book by critically evaluating corporate constitutionalism in the context of Carillion’s collapse. It assesses whether the framework offers a viable alternative to corporate contractualism for addressing governance failures. The chapter highlights both the potential of corporate constitutionalism to strengthen accountability, legitimacy, and checks and balances, and its limitations—particularly regarding stakeholder inclusion and practical enforceability. It also reflects on the book’s own limitations and outlines directions for future research.
