Firms in Transition: A Review of the Venture Capital, IPO, and M&A Literature

Abstract: A key area of research focuses on firms in transition, particularly those going public via initial public offerings, those growing via venture capital infusions, and acquirers and targets in merger and acquisition deals. In this article, we provide a review of research regarding firms in transition, with a primary focus on accounting‐related research. As part of our review we include key contributions both in the Canadian context and internationally, and discuss areas to be considered for future research. Sociétés en transition: revue de la documentation sur le capital‐risque, les PAPE et les regroupements d'entreprises Résumé Nombre de chercheurs se sont intéressés aux sociétés en transition, en particulier aux entreprises qui s'introduisent en bourse au moyen d'un premier appel public à l'épargne, qui assurent leur croissance grâce à l'injection de capital‐risque ou qui prennent part à des regroupements d'entreprises à titre d'acquéreurs ou de sociétés cibles. Les auteurs passent en revue les écrits relatifs aux sociétés en transition en mettant l'accent sur la recherche en comptabilité. Dans le cadre de leur analyse, ils recensent les principaux apports des chercheurs, tant sur la scène canadienne qu'à l'échelle internationale, et traitent des pistes de recherche future.
