Abstract:
This study surveyed a large sample of works councils at companies in the automotive parts industry to examine the influence of private equity companies on corporate governance and corporate codetermination in Germany. The results show that financial investors are changing corporate governance by intervening in the decision-making structures of companies and dissolving informal interaction structures of the social partners. Corporate coordination is strongly controlled by means of financial indicators, and dealings with employees are being increasingly juridified. A growing number of works councils are facing reduced opportunities for compromise in their companies, and their work requirements are being expanded.
