The board's mandate: Mediating corporate lifespace

Abstract:
Current discussions of board mandates primarily address how the board should be involved in setting, evaluating or monitoring the strategy of a company, and how board members should conduct themselves. The authors propose that boards and management also need to explore the nature of public expectations for corporate performance in economic and social spheres and how the corporation will respond. Standards for corporate performance and the question of "to whom" and "for what" corporations should be accountable are discussed. The concept of "lifespace" for a corporation is developed and illustrated as a means to approach these questions. Examples are provided of actions companies have taken to modify or negotiate their "lifespace".
