Legislating for System Change - The Russian Company Acts of 1995 and 1998

Abstract:
After discussing some categories and modalities of a designed system change the paper turns to the example of the recent Russian company legislation. The design of two ambitious new company codes for large and small corporations implied a massive transformation of both the underlying economic policy and the style of legislation. The actual process of legislation involved detailed policy analysis by using the tools of economic analysis of law and insights of the New Institutional Economics. A striking present feature is the competition of two corporate law regimes for the small and middle-sized business corporations.
