Abstract: The article aims to highlight the EU directives issued to protect the interests of different categories of actors that are involved in restructuring operations and the operations against the background of the current economic crisis event. A further issue highlighted in this paper is on the state of mergers and acquisitions in Romania and their medium-term trends. Even if the current economic situation reduced resources for funding, however, many corporations realize that restructuring operations are a method necessary to implement for exiting the crisis. Thus, shareholders prefer to invest alongside other partners to strengthen their financial position in the market where it operates.
