Abstract: The subject of this paper is to discuss the principles of responsibility of directors of companies. The author presents the basic objectives and principles of management and related obligations on its members. Violation of obligations imposed on them can lead not only to civil liability but also criminal liability. Then indicated crimes individual entity whose board members are specified in the Commercial Companies Code, based on the described principles of responsibility of board members.
