Abstract:
This chapter explores the governance of family businesses in Morocco as a developing country, highlighting the challenges and opportunities in this context. Through three illustrative case vignettes, the chapter examines various aspects of governance in family businesses. The first case highlights the importance of informal gatherings and mediation in addressing conflicts within family businesses. These mechanisms play a crucial role in reconciling differences and ensuring a balance between emotional reactions and rational decision-making, ultimately contributing to both corporate and family governance. The second case vignette explores the use of the hypo-group structure as a mechanism for ownership governance to address succession and generational transition issues for family businesses. Lastly, the third case delves into the challenges surrounding a divestment decision and how governance deficiencies push a family business to the brink of bankruptcy. In conclusion, the chapter offers future directions and policy implications for strengthening governance for family businesses within such contexts.
