Abstract:
Abstract Governance means monitoring as well as advising. In both tasks, one needs to understand the situation and the challenges. The non-executive board members can and even should not be directly involved in the activities of the organization. And further, they meet only on a quarterly or bi-monthly basis. Thus, all the judgment they can provide is based on indirect information that is prepared for the board meetings. Indirect means that the data and their evaluation is provided by a reporting executive. He or she is the mediator between the “reality” and the picture of the reality which can be seen and interpreted by the board.
