Abstract:
Abstract The scandals at Enron, WorldCom, Nortel and others have placed the corporate governance systems of modern corporations under close scrutiny. Lapses in the personal and professional integrity of accounting firms and their corporate clients have led to significant undermining of confidence in capital markets and to substantial erosion of trust in institutions of modern capitalism. As a result, investors and regulators are forcing organisations to improve disclosure policies, to rethink their relationships with auditors, and to strengthen corporate boards as part of a wide ranging reform of corporate governance (Fig. 5.1).
